The news: OpenAI has confidentially submitted a draft S-1 registration statement to the Securities and Exchange Commission, paving the way for what could become one of the largest technology listings in recent years.

The company said it disclosed the filing proactively, as it expects details of the confidential submission to leak.

The context: The announcement follows plans by rival Anthropic to pursue a public listing and comes ahead of SpaceX’s expected market debut, set for Friday.

OpenAI said it has not determined the timing of the potential initial public offering.

What they said: “We recently submitted a confidential S-1. We expect it to leak so we’re just announcing it,” OpenAI said in a public announcement.

“We have not decided on timing yet; it may be a while because there are things we want to do that are likely easier as a private company.

“But it’s a complicated set of tradeoffs and this gives us the option to go public sooner if that ends up being best.”
