Perseus Mining snubbed by Predictive Discovery over rival takeover

The news: Small mining company Predictive Discovery has announced an amendment to its agreement with Canadian gold miner Robex for the company's acquisition after deeming Perseus Mining's proposal to no longer be superior.

The numbers: Under the revised amended arrangement, Robex shareholders will receive 7.86 predictive shares for each Robex share, resulting in shareholders owning 46.5% of the combined company.

The context: The announcement took an unexpected turn following Perseus Mining's announcement earlier in the month after Predictive's board unanimously determined that Perseus' offer was favourable to the merger with Robex.

The deadline for Robex shareholders to vote their shares by depositing proxies is revised to 29 December 2025.

What they said: "After announcing the Perseus acquisition proposal, we received clear written feedback from several of our largest shareholders indicating their support for the Robex merger over the Perseus acquisition in its current form," Predictive Discovery CEO Andrew Pardey said.
