Southern Cross Media chair Heith Mackay-Cruise to retire at end of June

The news: Southern Cross Media chair Heith Mackay-Cruise will retire on 30 June 2026, with former Seven West Media director Teresa Dyson to succeed him as chair effective the following day.

The context: Mackay-Cruise has been on the Southern Cross Media board for almost six years and spent more than two years as chair.

Dyson was on the Seven West Media board for more than eight years before transitioning to the Southern Cross board after the companies merged in January.

Dyson is also on the board of Humm Group and the board of Shine Justice. She is the deputy chair of Invest Gold Coast and is a member and acting president of the Takeovers Panel, among other appointments.

As previously announced, Southern Cross director Ido Leffler will retire on 30 June 2026.

On 1 May 2026, activist shareholder Sandon Capital, on behalf of One Fund Services and One Managed Investment Funds, filed a 203D notice under the Corporations Act to move votes to remove Heith Mackay-Cruise, Ido Leffler and Marina Go from the board at the next annual general meeting that will be held before 30 November 2026.

However, Southern Cross said the notices in effect have no impact on the resolution to be considered at the AGM given Mackay-Cruise and Leffler are set to retire and Go is set to stand for re-election. SGH Limited intends to vote its 20% interest in favour of Go.

Dyson said: “I am looking forward to working closely with Heith, Rohan and my fellow directors over the upcoming transition period and as we continue to drive our performance, deliver the full value and synergies of our operations and diverse content platforms, and carefully manage succession on the board.”
